Terms of Service

1. Eligibility & Account Registration

Our Services are intended for individuals who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into binding contracts, and are not prohibited from using the Services under applicable law.

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your password secure and not share it with third parties;
• Notify us immediately of any unauthorized access to your account at admin@joinami.io;
• Be solely responsible for all activity that occurs under your account.

AMI reserves the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

1.1 Electronic Communications and Notices Consent

By creating an account, you consent to receive communications from AMI electronically, including via email and in-app notifications. These communications may include account-related notices, security alerts, notices regarding security incidents, updates to these Terms, and other legal or operational communications. You agree that such electronic communications satisfy any legal requirement that communications be provided in writing. You acknowledge that email and other electronic communications are not inherently secure, and that there is a reasonable possibility that third parties may intercept such communications. You accept this risk in connection with your use of the Services.

2. Description of Services

AMI Collective provides a digital wellness platform designed to help users understand and work with their menstrual cycle through cycle tracking, phase-based education, personalized insights, habit recommendations, and community resources. Our Services may include, without limitation:

• Menstrual cycle and symptom tracking tools;
• Hormone cycle phase education and content;
• Personalized wellness recommendations based on cycle phase;
• Nutrition, movement, and lifestyle guidance;
• Community features and shared content;
• Integration with select third-party health and wellness services;
• AI-assisted insights and informational content.

2.1 AMI Chat

AMI includes an AI-powered chat (“AMI chat”) designed to respond to your questions with automatically generated information related to cycle health, nutrition, and wellness. When you submit a question or prompt (“Inquiry”), AMI chat generates a response (“Response”) based on that input using third-party generative AI tools and models (“AI Tools”).

By using AMI chat, you consent to AMI sharing your Inquiries with the AI Tools necessary to process and respond to your request. Your interactions with AMI chat may be monitored and reviewed to improve the accuracy and safety of the feature.

All Responses are for informational purposes only. AMI chat is not a medical professional and its Responses do not constitute medical advice, diagnosis, or treatment. Do not rely on AMI chat as a substitute for guidance from a qualified healthcare provider.

Your Inquiries and Health Data are never used to train third-party large language models. We may use anonymized, aggregated interaction data to improve the safety and accuracy of AMI Assistant, but your personal information never becomes part of any third party’s AI training dataset. AMI Assistant does not make automated health decisions on your behalf — it provides suggestions you may choose to act on or disregard. If AMI Assistant retains context from past conversations to personalize future responses, you will be able to view and delete this stored context at any time through your account settings.

Responses generated by AMI Chat may differ over time, even when responding to similar questions or prompts. AI-generated Responses may not reflect the most current scientific research, clinical guidance, or your complete health history. You remain solely responsible for evaluating any Response and deciding whether to act upon it after consulting an appropriate healthcare professional where necessary.

YOU ACKNOWLEDGE AND AGREE THAT AMI CHAT IS NOT A HUMAN AND IS NOT A REPLACEMENT FOR HUMAN INTERACTION, PROFESSIONAL JUDGMENT, OR MEDICAL ADVICE. AMI DOES NOT GUARANTEE THAT ANY RESPONSE WILL BE ACCURATE, COMPLETE, OR FREE OF ERROR. GENERATIVE AI TECHNOLOGY IS KNOWN TO PRODUCE INCORRECT OR MISLEADING INFORMATION. AMI CHAT IS A WELLNESS RESOURCE INTENDED TO SUPPLEMENT — NOT REPLACE — YOUR OWN JUDGMENT AND ANY CONSULTATION WITH A QUALIFIED HEALTHCARE PROVIDER.

2.2 Mobile Application

AMI’s mobile application (“Mobile App”) is available for download on iOS and Android platforms. Your download and use of the Mobile App is subject to these Terms as well as the terms of the applicable app store from which you download it.

Apple App Store

With respect to any Mobile App made available through the Apple App Store (“Apple-Enabled Software”), the following applies:

• These Terms are between you and AMI only, not with Apple Inc. (“Apple”). AMI, not Apple, is solely responsible for the Apple-Enabled Software and its content.
• Your use of the Apple-Enabled Software must comply with the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide maintenance or support for the Apple-Enabled Software.
• Apple is not responsible for any product warranties. In the event of any failure of the Apple-Enabled Software to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); Apple has no further warranty obligation.
• AMI, not Apple, is responsible for addressing any claims relating to the Apple-Enabled Software, including product liability claims, regulatory compliance claims, and intellectual property infringement claims.
• You represent that you are not located in a U.S.-embargoed country and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-Enabled Software, and upon your acceptance, Apple has the right to enforce these Terms against you.

Google Play Store

With respect to any Mobile App downloaded from the Google Play Store (“Google-Sourced Software”), the following applies:

• These Terms are between you and AMI only, not with Google LLC (“Google”).
• Your use of the Google-Sourced Software must comply with Google’s then-current Google Play Terms of Service.
• Google is only a provider of the Google Play Store; AMI, not Google, is solely responsible for the Google-Sourced Software.
• Google has no obligation or liability to you with respect to the Google-Sourced Software or these Terms.
• Google is a third-party beneficiary of these Terms as they relate to the Google-Sourced Software.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will use reasonable efforts to notify you of material changes.

2.3 Lab Results Upload

Users may upload laboratory results (“Lab Results”) to the Services for the purpose of receiving personalized wellness content and enhanced AMI Assistant responses. The following applies to all Lab Results you upload:

• AMI Read. When you upload Lab Results, AMI may generate an automated summary (“AMI Read”) using AI Tools. AMI Read summaries are generated entirely by artificial intelligence and are not reviewed, verified, or approved by a licensed healthcare provider, physician, or any other medical professional.
• Informational Purpose Only. AMI Read summaries and any recommendations informed by your Lab Results are provided for general wellness and informational purposes only. They do not constitute medical interpretation, clinical analysis, diagnosis, or treatment. They should never be used as a substitute for review and interpretation by your licensed healthcare provider.
• Personalization Use. Your Lab Results will be used to personalize your in-app content recommendations and to inform AMI Assistant responses. By uploading Lab Results, you consent to this use.
• Your Responsibility. You are responsible for ensuring the accuracy of any Lab Results you upload. AMI is not responsible for errors, inaccuracies, or misinterpretations arising from incomplete, illegible, or incorrectly uploaded results.
• Automated Extraction. AMI may use automated technologies, including optical character recognition (OCR), document processing, or artificial intelligence, to extract information from uploaded Lab Results. These technologies may incorrectly identify, omit, misread, or misinterpret laboratory values, units of measurement, reference ranges, or other information. You are responsible for reviewing your uploaded Lab Results and confirming that the information accurately reflects your original laboratory report before relying on any personalized insights generated by the Services.

YOU ACKNOWLEDGE AND AGREE THAT AMI READ SUMMARIES ARE GENERATED SOLELY BY ARTIFICIAL INTELLIGENCE WITHOUT REVIEW BY ANY LICENSED HEALTHCARE PROVIDER. AMI DOES NOT INTERPRET YOUR LAB RESULTS AND MAKES NO CLINICAL CONCLUSIONS FROM THEM. AI-GENERATED CONTENT RELATED TO LAB RESULTS MAY BE INACCURATE, INCOMPLETE, OR MISLEADING. YOU SHOULD ALWAYS SHARE YOUR LAB RESULTS WITH AND SEEK INTERPRETATION FROM A QUALIFIED HEALTHCARE PROVIDER BEFORE MAKING ANY HEALTH OR TREATMENT DECISIONS.

2.4 Cycle Predictions & Fertility Estimates

The Services may generate predictions, estimates, reminders, or insights regarding your menstrual cycle, ovulation, fertile window, hormonal phases, symptoms, or other reproductive health patterns (“Cycle Predictions”). Cycle Predictions are generated using the information you provide and other available data, and are intended solely to support general wellness and self-awareness. Cycle Predictions are estimates only and are inherently subject to uncertainty. AMI does not guarantee the accuracy, completeness, or reliability of any predicted cycle date, ovulation date, fertile window, symptom forecast, hormone pattern, or related insight. The Services are not intended to be used as a method of contraception, birth control, fertility treatment, pregnancy planning, or diagnosis of any reproductive or medical condition. You should not rely on Cycle Predictions when making medical, reproductive, contraceptive, fertility, or family planning decisions. Always consult a qualified healthcare provider regarding reproductive health decisions.

2.5 Pregnancy Disclaimer

AMI does not diagnose, detect, confirm, prevent, or monitor pregnancy. Nothing within the Services should be interpreted as indicating whether you are or are not pregnant, whether conception has occurred, or whether pregnancy is likely. If you believe you may be pregnant, are trying to become pregnant, or have questions regarding fertility or pregnancy, you should seek evaluation and guidance from a qualified healthcare provider.

2.6 Third-Party Artificial Intelligence Providers

Certain features of the Services rely upon third-party artificial intelligence models, cloud infrastructure, and other technology providers (“Technology Providers”). Although AMI carefully selects its Technology Providers, we do not own or control their services and cannot guarantee their continued availability, functionality, security, or accuracy. Technology Providers may experience interruptions, outages, delays, modifications, or discontinuation that affect the availability or performance of AI-generated features. AMI shall not be responsible for errors, interruptions, or limitations caused by third-party Technology Providers.

2.7 Beta Features

During AMI’s beta period, some or all of the Services may be offered in a testing environment and may include features, tools, or functionality designated as beta, preview, early access, or experimental (“Beta Features”). Beta Features are provided for testing and evaluation purposes and may not be fully developed or finalized. Beta Features may contain bugs, errors, or other defects and may be incomplete, inaccurate, experimental, or otherwise not function as intended. They may also be modified, suspended, discontinued, or removed at any time, with or without notice, and without liability to you.

You acknowledge that Beta Features may experience interruptions, delays, unexpected errors, or temporary unavailability, and that AMI does not guarantee uninterrupted access during the beta period. Your use of any Beta Feature is entirely voluntary and at your own risk. You understand that information generated through Beta Features may change as the feature evolves and should not be relied upon as complete, accurate, or final.

3. Not Medical Advice — Important Disclaimer

THE SERVICES, INCLUDING ALL CONTENT, TRACKING DATA, INSIGHTS, RECOMMENDATIONS, AND AI-GENERATED INFORMATION, ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. AMI DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. NOTHING ON OUR PLATFORM SHOULD BE CONSTRUED AS MEDICAL ADVICE OR AS A SUBSTITUTE FOR CONSULTATION WITH A QUALIFIED HEALTHCARE PROFESSIONAL.

Although AMI is designed to help users better understand their bodies and support their general wellness, we cannot and do not guarantee any health outcome, improvement, or result from using the Services. Your use of the Services, including any reliance on cycle predictions, wellness recommendations, AI-generated content, or educational materials, is solely at your own risk.

You acknowledge and agree to the following:

• Use of the Services does not establish a patient-provider relationship between you and AMI or any of its team members, affiliates, or content contributors.
• You should never disregard, delay seeking, or substitute professional medical advice based on anything you read, track, or receive through the Services.
• You should never begin, discontinue, increase, decrease, or modify any medication, supplement, hormone therapy, or other treatment solely in reliance on information provided through the Services.
• Not for Emergency Use: The Services are not monitored in real time and are not intended for emergency communications or urgent medical situations. Messages submitted through AMI Chat are not reviewed by physicians or other healthcare professionals and may not receive immediate attention.
• Do not use the Services to seek emergency medical assistance. If you believe you are experiencing a medical emergency, call 911 (or your local emergency services) immediately or seek care at the nearest emergency medical facility.
• If you have concerns about your hormonal health, reproductive health, or any medical condition, please consult a licensed healthcare provider.
• The Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition, including PCOS, endometriosis, fertility conditions, or hormonal disorders.
• AMI is a wellness education platform. Our content reflects current educational perspectives on cycle health and is not a replacement for individualized clinical care.

You further represent and warrant that any Health Data, Lab Results, or other information you upload belongs to you or that you have obtained all necessary rights, authorizations, and permissions to upload and share such information; that all information you provide through the Services is accurate and complete to the best of your knowledge; that you will not use the Services to provide medical advice, diagnosis, treatment, or other healthcare services to any third party; and that you will not rely on the Services as a substitute for the advice, diagnosis, treatment, or professional judgment of a qualified healthcare provider.

4. Health Information & Privacy

Your health and body are yours. We take the privacy and security of your health information seriously. By using the Services, you will be submitting personal health information, including menstrual cycle data, symptoms, mood patterns, and lifestyle inputs (“Health Data”).

4.1 Your Ownership of Health Data

You retain exclusive ownership of your Health Data and all intellectual property rights related to it. By submitting Health Data through the Services, you grant AMI a limited, non-exclusive, worldwide license to use your Health Data solely to deliver and personalize your experience within the Services. AMI acquires no other rights over your Health Data. We will never use your Health Data for advertising, marketing, or any purpose beyond operating the Services on your behalf, without your explicit written consent.

4.2 Your Consent and Controls

You agree that:

• You are voluntarily providing Health Data to receive personalized insights and features;
• AMI will collect, process, and store your Health Data in accordance with our Privacy Policy;
• You may request deletion of your Health Data at any time by contacting admin@joinami.io.

4.3 HIPAA and Data Standards

AMI Collective is a direct-to-consumer wellness platform and is not a “covered entity” or “business associate” under the Health Insurance Portability and Accountability Act (“HIPAA”). Accordingly, information you provide through the Services is not subject to HIPAA protections. However, AMI implements administrative, technical, and organizational safeguards designed to protect your personal information and processes your data in accordance with our Privacy Policy and applicable privacy laws. Nothing in these Terms should be interpreted as creating HIPAA obligations where they do not otherwise apply under law. We do not sell your personal Health Data to third parties.

5. Subscription & Payment

5.1 Paid Plans

Certain features of the Services may require a paid subscription (“Subscription”). Details regarding Subscription plans, pricing, and features are described at joinami.io. By subscribing to a paid plan, you authorize AMI to charge your selected payment method for the applicable fees. Your decision to purchase a Subscription is not contingent upon the future availability of any feature, functionality, integration, or AI capability that is not expressly included in your current Subscription at the time of purchase.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. AMI will notify you of any changes to Subscription pricing at least 30 days in advance. Continued use of a paid feature after a price change constitutes your acceptance of the new pricing.

5.3 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting admin@joinami.io. Cancellation takes effect at the end of the current billing period. Unless otherwise required by applicable law, fees paid are non-refundable.

5.4 Free Trial

AMI may offer free trial periods from time to time. At the end of a free trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial ends. AMI reserves the right to modify or terminate free trial offerings at any time.

6. User Content

AMI does not currently include public-facing social or community features. Any content you submit through the platform — including profile information, feedback, and responses to in-app prompts — is used solely to operate and personalize your experience within the Services. We will never use your submissions for marketing or promotional purposes without your explicit consent. If and when community features are introduced, we will update these Terms and notify you in advance.

If you submit comments, suggestions, ideas, enhancement requests, or other feedback regarding the Services (“Feedback”), you grant AMI a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Services without compensation or attribution to you.

7. Intellectual Property & Trademarks

The Services, including all content, features, designs, graphics, text, trademarks, logos, and software (“AMI Content”), are owned by or licensed to AMI Collective, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to any AMI Content.

You may not copy, modify, distribute, sell, reverse engineer, or otherwise exploit any AMI Content without our express prior written permission. Unauthorized use of AMI Content may result in termination of your account and legal action.

Trademarks. AMI does not grant you the right to use its trade names, trademarks, service marks, logos, or other brand designations in any promotion, publication, or commercial context. Any use of AMI’s marks requires prior written authorization.

8. Acceptable Use & Prohibited Conduct

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. The following conduct is strictly prohibited:

• Using the Services for any unlawful, harmful, or fraudulent purpose;
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
• Uploading or distributing viruses, malware, or any other harmful code;
• Attempting to gain unauthorized access to any part of the Services or AMI’s systems;
• Scraping, crawling, or otherwise extracting data from the Services without prior written authorization;
• Harassing, threatening, or abusing other users;
• Posting content that is defamatory, obscene, or infringes any third-party intellectual property rights;
• Using the Services to promote competing products or services without authorization;
• Use Cycle Predictions, ovulation estimates, fertile window estimates, or any other reproductive health insights as a substitute for contraception or birth control;
• Use the Services to diagnose, treat, manage, or make clinical decisions regarding any health condition for yourself or another person.

AMI reserves the right to investigate and take appropriate action against any violation, including account suspension, termination, and referral to law enforcement.

9. Third-Party Services & Integrations

The Services may contain links to or integrate with third-party websites, applications, and services (collectively, “Third-Party Services”). AMI does not control, endorse, or assume any responsibility for the content, privacy practices, or availability of Third-Party Services. Your use of any Third-Party Services is subject to the respective terms and policies of those services.

If you connect a Third-Party Service to your AMI account (such as a wearable device or health app), you authorize AMI to access and process data from that service as described in our Privacy Policy. The Services may integrate with third-party platforms, including health applications, wearable devices, laboratories, and other services. AMI does not guarantee that any integration will remain continuously available, accurate, or compatible with future versions of third-party services.

Third-party providers may modify or discontinue their services at any time without notice. AMI is not responsible for the accuracy, completeness, availability, or continued operation of any Third-Party Integration.

We welcome reports from security researchers who help us identify and address vulnerabilities. If you believe you’ve discovered a security issue, please contact us at admin@joinami.io.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. AMI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AMI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE SERVICES.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions may not apply to you. The Services are intended to support your personal wellness journey and are not a substitute for maintaining your own personal medical records.

Although AMI employs commercially reasonable measures to preserve user data, we do not guarantee permanent storage, preservation, or recoverability of your Health Data or Lab Results.

You are solely responsible for maintaining copies of your own laboratory reports, medical records, and other important health information.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMI COLLECTIVE, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE — EVEN IF AMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AMI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

Without limiting the foregoing, AMI shall have no liability for any claims, losses, damages, or other liabilities arising out of or related to inaccurate, incomplete, or delayed Cycle Predictions; missed or inaccurate ovulation estimates; fertility, conception, or pregnancy outcomes; inaccurate, incomplete, or misleading AI-generated summaries; inaccurate interpretation, analysis, or presentation of uploaded Lab Results; missed, delayed, or failed reminders or notifications; the interruption, unavailability, or malfunction of any Third-Party Services; or any decisions, actions, or omissions made by you or any third party in reliance on the Services or any information provided through the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless AMI Collective, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit. AMI reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

13. Changes to These Terms

AMI reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, within the app, or by email. The updated Terms will indicate the revised effective date. Your continued use of the Services following notice of changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.

14. Termination

14.1 Termination for Cause

Either party may terminate these Terms for cause if the other party materially breaches these Terms and fails to cure such breach within 30 days after receiving written notice specifying the nature of the breach. AMI will provide written notice of any material breach to the email address associated with your account.

14.2 Termination by AMI

AMI may also suspend or terminate your access to the Services immediately, without prior notice, if we reasonably believe you have violated applicable law, engaged in fraudulent activity, or pose a security risk to the Services or other users.

14.3 Termination by You

You may terminate your account at any time by contacting admin@joinami.io. Cancellation of a paid Subscription is governed by Section 5.3.

14.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. AMI shall have no liability to you for any termination of access carried out in accordance with these Terms, and you waive any claims against AMI arising from such termination. Sections 7, 10, 11, 12, 15, and 16 shall survive termination.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware with respect to matters of corporate governance, intellectual property, and general contract interpretation, without regard to its conflict of law provisions.

With respect to the rights of users located in the Commonwealth of Puerto Rico, these Terms shall also be interpreted in accordance with applicable Puerto Rico law, including consumer protection statutes and the Puerto Rico Citizen Information on Data Banks Security Act (Act 111-2005). AMI submits to the jurisdiction of competent courts in Puerto Rico for matters arising from the provision of Services to Puerto Rico residents. Nothing in these Terms limits any rights Puerto Rico residents may have under applicable local consumer protection law, including rights enforceable through the Puerto Rico Department of Consumer Affairs (DACO).

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at admin@joinami.io and attempt in good faith to resolve any dispute informally. We will attempt to do the same. This informal resolution period shall last 30 days from the date of notice.

15.3 Arbitration

If informal resolution fails, any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by JAMS under its applicable rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitration shall take place in the State of Delaware, unless otherwise agreed by the parties.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.4 Opt-Out

You may opt out of the arbitration agreement by notifying AMI in writing at admin@joinami.io within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a statement that you wish to opt out of the arbitration agreement.

16. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and AMI regarding the Services and supersede all prior agreements.
• Notices. Any notice, request, or communication required or permitted under these Terms shall be made in writing and shall be deemed delivered when sent to admin@joinami.io or to the mailing address of record. AMI may provide notices to you via the email address or in-app notification associated with your account.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver. AMI’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment. AMI may assign these Terms or any of its rights or obligations hereunder without your consent. You may not assign your rights or obligations under these Terms without AMI’s prior written consent. Any assignment in violation of this provision shall be null and void.
• No Third-Party Beneficiaries. These Terms do not confer any rights on any third parties, except as expressly stated in Section 2.2 with respect to Apple and Google as third-party beneficiaries.
• Force Majeure. AMI shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, or government actions.
• Headings. Section headings are provided for reference only and shall not affect the meaning or interpretation of these Terms.
